1. About these terms

These terms govern your use of this website at noburesidencesmaldives.com (the "Website") and any information you request or submit through it. By using the Website you agree to these terms. If you do not agree, please do not use the Website.

The Website is operated by Sarat International, whose registered office is at M Iysmata, Rabee ee higun, Malé, Maldives ("we", "us", "our"). We operate the Website on behalf of the Nobu Residences, Laamu Atoll - Maldives development (the "Development").

The Website is not operated by Nobu Hospitality. Please read the brand and development disclaimer in section 10.

Our Privacy Policy and Cookie Policy explain how we handle personal data and cookies. They form part of these terms.

2. Who may use the Website

The Website is intended for people aged 18 and over. By using it you confirm that you are at least 18.

You are responsible for checking that viewing this Website, and receiving information about the Development, is lawful in the country where you are located.

3. The information on this Website

The Website is a marketing introduction to the Development. Everything on it is provided for general information only.

Nothing on the Website is an offer to sell, lease or otherwise dispose of any residence, island or other property, and nothing on it is an invitation to make an offer. No contract of any kind is formed by using the Website, by registering your interest, or by any communication that follows, unless and until a written agreement is signed by you and by the relevant Sarat International entity.

The Development is at an early stage. Plans, layouts, dimensions, specifications, materials, facilities, services, completion dates, availability and prices shown or described on the Website are indicative only and may change without notice. Computer-generated images, renderings, plans and photography are representative and are not a promise of the finished product. We reserve the right to make changes or substitutions of equal or better quality to any feature, material or equipment of a residence.

Descriptions of the resort, its restaurants, spa, marina, yacht and other amenities describe the current design intent. Their availability, operator, opening dates and terms of access may change and may be subject to separate membership, fee or booking arrangements.

Nothing on the Website is legal, tax, financial or investment advice. Before making any decision about a residence you should take your own independent legal, tax and financial advice, including on the laws of the Maldives and of the country where you are resident.

4. The nature of property interests in the Maldives

Land in the Maldives is owned by the State. Islands developed for tourism are held under lease from the Government of the Maldives under the Maldives Tourism Act (Law No. 2/99) as amended.

Any residence at the Development will be offered as a long-term leasehold or right-to-use interest granted out of the island lease, on the terms of a written agreement, and not as freehold ownership of land. The term of any such interest cannot exceed the remaining term of the underlying island lease. Interests of this kind are registered with the Ministry of Tourism of the Maldives and are subject to the Tourism Act, its regulations and the underlying island lease.

The availability of any residence, and the terms on which it may be acquired, are subject to Government approvals, registration and applicable Maldivian law, all of which may change.

5. Where the residences may be marketed

The Website is accessible worldwide, but the residences are not offered in any country or to any person where doing so would require registration, licensing or approval that has not been obtained, or would otherwise be unlawful.

In particular, nothing on this Website is an offer or solicitation in any jurisdiction where the Development has not been registered or qualified under local real estate, land sales, securities or consumer protection laws. It is your responsibility to check whether you may lawfully receive information about the Development.

6. Registering your interest

The Website lets you register your interest in the Development by submitting your name, email address, telephone number and the reason for your enquiry.

Registering your interest places no obligation on you and no obligation on us. It does not reserve a residence, create any priority or waiting-list position, or entitle you to any price, availability or terms.

You agree that the details you submit are accurate and belong to you, and that you will update us if they change.

When you register your interest we, or sales agents and brokers appointed by us, may contact you by email or telephone to respond to your enquiry. Marketing communications will be sent only where you have agreed to receive them, and you can withdraw that agreement at any time using the unsubscribe link in any email or by contacting us at the address in section 14. Our Privacy Policy explains how your personal data is used, shared and kept.

We may decline or cease to respond to an enquiry at our discretion, for example where we consider it to be commercial solicitation, automated or abusive.

7. Intellectual property

The Website and everything on it, including text, images, renderings, plans, films, logos, layouts and code, is owned by us or by our licensors and is protected by copyright, trade mark and other intellectual property laws.

The Nobu name and marks are trade marks of Nobu Hospitality and its affiliates, used by us under licence. The Sarat International name and marks are our trade marks. The BLINK and Vripack names and marks are trade marks of their respective owners. No licence to use any of these marks is granted by the Website.

You may view the Website and print or download extracts for your own personal, non-commercial use in considering the Development. You may not otherwise copy, reproduce, modify, distribute, publish, sell or create derivative works from any part of the Website without our prior written permission.

8. Acceptable use

You agree not to:

• use the Website in any way that breaks any law or infringes anyone's rights;
• attempt to gain unauthorised access to the Website, the server on which it is stored, or any connected system;
• introduce viruses, malicious code or other harmful material;
• use automated tools to scrape, harvest or collect content or personal data from the Website;
• submit false or misleading information through the enquiry form;
• use the Website to send unsolicited commercial communications to us or to anyone else.

We may suspend or block access to the Website, and may report unlawful activity to the relevant authorities, if we consider that you have breached this section.

9. Third-party websites and content

The Website may contain links to websites operated by others, for example the websites of Nobu Hospitality, BLINK or Vripack. We do not control those websites and are not responsible for their content, availability or privacy practices. A link does not mean that we endorse the linked site. Your use of any third-party website is subject to its own terms.

10. Brand and development disclaimer

Nobu Residences, Laamu Atoll - Maldives is not owned, developed or sold by Nobu Hospitality. Sarat International uses the Nobu marks under a licence from Nobu Hospitality, which has not confirmed the accuracy of any of the statements or representations made on the Website. Nobu Hospitality has no liability to you in connection with the Website or the Development.

11. Availability and changes to the Website

We aim to keep the Website available and accurate, but we do not promise that it will be uninterrupted, error-free or free of viruses. We may change, suspend or withdraw all or any part of the Website at any time without notice.

We may update the content of the Website at any time. We are under no obligation to update information that has become out of date.

12. Our liability

Nothing in these terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be excluded or limited.

Subject to that, and to the extent permitted by law:

• the Website and its content are provided "as is" without any warranty, express or implied, as to accuracy, completeness, fitness for purpose or non-infringement;
• we are not liable for any loss or damage arising from your use of, or inability to use, the Website, or from your reliance on any information on it, including any decision you make about a residence;
• we are not liable for any indirect or consequential loss, loss of profit, loss of business or loss of opportunity;
• we are not liable for any loss or damage caused by a virus or other harmful material that may affect your equipment as a result of your use of the Website or any linked site.

These terms do not affect any statutory rights you have as a consumer that cannot be excluded by agreement.

13. Governing law and disputes

These terms, and any dispute or claim arising out of or in connection with them or with your use of the Website, are governed by the laws of the Republic of Maldives. The courts of the Republic of Maldives have exclusive jurisdiction, except that we may bring proceedings to protect our intellectual property in any court of competent jurisdiction.

If you are a consumer resident in a country whose law gives you the right to bring proceedings in your own courts or under your own law in respect of these terms, nothing in this section takes that right away.

15. General

If any part of these terms is found to be invalid or unenforceable, the rest continues in force. Our failure to enforce any part of these terms is not a waiver of our right to do so later. These terms are personal to you and you may not transfer your rights under them. We may transfer our rights to any successor operator of the Website or the Development.

We may change these terms from time to time. Changes take effect when published on this page. Please check this page each time you use the Website.
